Terms of use

Last updated: 2026-10-23. Operator: Amuze LLC, a US limited liability company, 1517 North Point Street #449, San Francisco, CA 94123, USA ("Everyspot", "we", "us"). Contact: hello@everyspot.media. By using everyspot.media, listing space or booking a placement, you agree to these terms. If you use Everyspot for a business, you confirm you can bind that business.

1. The service

Everyspot is an early-stage marketplace that connects advertisers with media owners. The AI assistant can make mistakes. Prices, availability and audience figures are indicative only until a person from our team confirms them in writing. Sample listings are illustrative and are not real offers. You must be 18 or older.

2. Our role

For media owners, we act as your disclosed sales agent: we market your space, and we invoice and collect payment from the advertiser on your behalf, on terms agreed with you in writing before we pitch your space. The contract for the placement itself is between the advertiser and the media owner; we are not the owner of the space and do not run the ads. Money we collect for you is held in our business account until it is paid out to you; it is not held in escrow or a trust account. Each media owner is responsible for its own taxes on its income.

3. Listings

Media owners must have the right to sell the space they list, and must keep listing details accurate. A person on our team reviews every listing before it is shown. Listing details, including audience or traffic figures, come from the media owner. We do not independently verify them, and we label them as owner-stated. We may refuse or remove any listing.

4. Ad content

Advertisers are responsible for their ads: they must be lawful, truthful, not infringe anyone's rights, and follow the advertising codes that apply where the ad runs (for example the AANA codes in Australia). The media owner may refuse an ad that breaks the law, its own published rules or these terms. We may refuse to arrange any ad. Each party is responsible for, and will cover reasonable losses caused by, its own content: advertisers for their ads, media owners for their listing details.

5. AI concepts and chat answers

Concept mockups are AI-generated, labelled as concepts, and only show how an ad might look. They are not the final ad, a promise of how the space looks on the day, or a guarantee of results. Chat answers are general information, not professional advice, and do not bind us; only a written booking confirmation does. Advertisers keep all rights in their names, logos and creative. By sending them to us, you let us use them to make concepts and proposals for you, and, once you book, you let the media owner use the final creative to run your placement.

6. Bookings

Nothing is booked until a person from our team confirms the placement, price, dates and any cancellation terms in writing with both sides (the "booking confirmation"). Online booking is in development and no payments are taken today.

7. Fees and commission

Listing space is free. When a placement is booked, Everyspot earns a commission of 20% of the booking price the advertiser actually pays, deducted from the amount paid out to the media owner. The commission is calculated in the smallest currency unit and rounded down. If a booking is refunded or charged back in whole or in part, the commission is reduced in the same proportion. The commission is shown to both the advertiser and the media owner before a booking is confirmed. Any different rate must be agreed in writing in the booking confirmation. We pay the media owner the booking price less the commission within 30 days after the placement starts, once the advertiser's payment has cleared.

8. Cancellations and refunds

9. Chargebacks

If an advertiser disputes a payment with their card issuer, please contact us first so we can try to fix it. We will respond to the dispute with the booking records. If a chargeback succeeds, our commission is reduced proportionally (section 7). If we already paid the media owner for the charged-back amount, the media owner must repay its share, and we may deduct it from future payouts, unless the chargeback was caused by our own error. An advertiser who files a chargeback without good reason remains responsible for the amount owed.

10. Liability

Everyspot is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost business, and our total liability to you for any claim is limited to the greater of the commission we earned from your bookings in the 12 months before the claim, or US$100. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any right you have under law that cannot be excluded or limited, including the Australian Consumer Law. Where the Australian Consumer Law lets us limit our liability for a failure to meet a consumer guarantee, our liability is limited to supplying the service again or paying for it to be supplied again.

11. Disputes and governing law

Please contact us first; we will try to resolve any problem informally within 30 days. These terms are governed by the laws of the State of California, USA. Either side may bring a claim in small claims court if it qualifies. Otherwise, the state and federal courts located in San Francisco County, California have jurisdiction. If you are a consumer, you also keep any right to bring proceedings in the courts where you live and any protections of your local law that cannot be excluded. There is no mandatory arbitration.

12. Changes and other terms

We may update these terms by posting a new version here with a new date. Changes do not affect bookings already confirmed. If any part of these terms is unenforceable, the rest still applies. Our privacy policy explains how we handle personal information: see Privacy.
